Terms of Service

Last updated:

In short

These terms are the contract between Piemsoft Yazılım ve Eğitim San.Tic.Paz.Ltd.Şti and the business that opens an account on Rommerce OS. The platform is a business tool: it synchronises products, stock, orders, shipments and invoices between the providers you connect. You stay responsible for your own shops, fiscal documents and customer relationships; figures such as commission, profit and buy-box position are estimates built from the data your providers send.

1. The parties and the service

Rommerce OS ("the Service") is provided by Piemsoft Yazılım ve Eğitim San.Tic.Paz.Ltd.Şti, 7281195865, Vatan Mahallesi 230.Cad No:101 Merkez/Isparta ("we"). "You" are the company or professional that creates an organisation on the Service. The Service is intended for business use only; it is not offered to consumers.

By creating an account you accept these terms, the Privacy Policy and the Data Processing Agreement, which forms part of this contract.

2. Your account

  • You must give accurate company details and keep them up to date.
  • The person who creates the organisation is its owner and decides who else is invited and with which role. You are responsible for what your team members do in your organisation.
  • Keep credentials confidential. We recommend switching on two-factor authentication; tell us at once at info@piemsoft.com if you suspect unauthorised access.

3. Trial, plans and payment

  • A new organisation starts with a free trial of the length shown on the pricing page. No card is needed to start it.
  • After the trial the Service continues on a paid plan, billed in advance for each billing period through our payment providers (Stripe or iyzico). Prices, included features and limits are those shown on the pricing page when you subscribe; the features and limits you subscribed to stay with your subscription until you change plan.
  • If a trial ends without a subscription, or a payment fails and is not resolved within the grace period shown in the application, the organisation becomes read-only: your data stays visible and the billing page stays open, but changes and synchronisations pause until payment is settled.
  • You can cancel at any time from the billing page; cancellation takes effect at the end of the period already paid. Fees already paid are not refunded, unless the law requires otherwise.
  • We may change prices for future periods and will tell account owners in advance. Prices exclude taxes unless stated otherwise.

4. What the Service does - and what it does not

The Service connects to third-party providers with the credentials you supply and acts in your name: it publishes offers, updates stock and prices, imports orders, books shipments and asks your invoicing provider to issue documents.

  • Third-party providers are yours. Marketplaces, webshops, couriers and invoicing services are governed by your own contracts with them. Their availability, limits, fees and API changes are outside our control, and a connector can only do what the provider's API allows.
  • Fiscal documents remain your responsibility. Invoices and credit notes are issued by the invoicing provider you connected, under your own series and fiscal identity. You are responsible for their content and for filing them with the tax authority (including e-Factura / ANAF SPV), whether filing happens from our Service or from your provider's account.
  • Figures are estimates. Commission, fees, profitability, exchange-rate conversions and buy-box position are calculated from the data and rate cards available at the time. They are decision support, not accounting records, and should be checked against your providers' statements.
  • Automation acts on your rules. Repricing rules, automations and automatic courier pickups do what you configured. Review them before switching on automatic modes; safeguards such as minimum price and minimum margin are there to be set.
  • AI suggestions need your approval. Categories, descriptions, translations and attribute values proposed by the AI features are suggestions; nothing is published until you approve it, and you are responsible for what you publish.

5. Acceptable use

You agree not to: use the Service for unlawful goods or activities; attempt to access another organisation's data; probe, overload or disrupt the Service; resell access without our written agreement; or upload content you have no right to use. We may suspend an organisation that puts the Service or other customers at risk, and will tell you why.

6. Your data

You keep all rights to the data you bring into the Service. You give us the permission we need to host and process it in order to provide the Service. For personal data of your customers you are the controller and we are your processor - see the Data Processing Agreement. You are responsible for having a lawful basis to process your customers' data and for informing them.

7. Public API and webhooks

API tokens act with the permissions of the organisation that created them; keep them secret and revoke any that leak. We may apply rate limits. Webhook deliveries are signed; verify the signature before trusting a delivery.

8. Availability and support

We work to keep the Service available and announce planned maintenance where we can, but we do not promise uninterrupted operation unless a separate service-level agreement says so. Support is provided by e-mail at info@piemsoft.com and through the application.

9. Intellectual property

The Service, its software and its documentation belong to us. You receive a non-exclusive, non-transferable right to use the Service for your own business for as long as your subscription is active.

10. Liability

  • We are liable for damage we cause intentionally or through gross negligence, and for anything the law does not allow us to exclude.
  • Otherwise, our total liability for a year is limited to the fees you paid for the Service in the twelve months before the event.
  • We are not liable for indirect loss, lost profit or lost revenue, nor for loss caused by third-party providers, by incorrect data received from them, by rules or prices you configured, or by credentials you did not keep secure.

11. Term and termination

The contract runs for as long as you have an organisation on the Service. You may close it at any time. We may terminate for a serious or repeated breach of these terms, or for non-payment after notice. After termination your data is deleted or anonymised as described in the Privacy Policy; export what you need before closing the account.

12. Changes to these terms

We may update these terms. We tell account owners about material changes at least thirty days before they take effect; continuing to use the Service after that date means you accept them. If you do not agree, you may close the account before the change applies.

13. Governing law

These terms are governed by Romanian law. Disputes that cannot be settled amicably are submitted to the competent courts at our registered office, unless mandatory law provides otherwise.

Frequently asked questions

Is there a free trial and do I need a credit card?
Yes, every new organisation starts with a free trial, and no card is required to start it. The length of the trial is shown on the pricing page.
What happens if a payment fails?
After a grace period the organisation becomes read-only: data stays visible and the billing page stays open, but changes and synchronisations pause until the payment is settled. Nothing is deleted because of a failed payment.
Who is responsible for invoices and e-Factura filing?
The merchant. Invoices are issued by the merchant's own invoicing provider under the merchant's fiscal identity, and the merchant remains responsible for their content and for filing them with ANAF.
Are the profit and commission figures exact?
They are estimates calculated from the data and rate cards available at the time. They support decisions but do not replace the statements of marketplaces, couriers and banks.
